Uniform Partnership Act

The Uniform Partnership Act is a law designed for the governance of partnerships. When a state government adopts the Act, it furthers the goal of harmonizing the treatment of partnership entities across the United States. Thus far, the Act has been adopted by every state except Louisiana. The Act covers such partnership activities as formation of the entity, ownership of partnership assets, fiduciary duties, the settlement of partnership disputes, and dissolution of the entity.

The Act is revised regularly; to prevent confusion, each update to the preceding version of the Act is designated with the year in which it was released.
